Definitions

In these Terms, the following definitions apply:

"Lender"A financial institution, fintech lender, microfinance institution, or other entity that uses Verification Reports as an input into its credit assessment process
"Exporter"A trader or business entity that submits trade documents to Jabali Labs for verification
"User"Any person or entity that accesses the Website or uses the Verification Service
"Content"All text, data, reports, scores, methodologies, software, designs, and other materials on the Website or produced by the Verification Service

Acceptance of Terms

By accessing jabalilabs.com, submitting a contact form, requesting or receiving a Verification Report, or using any part of the Verification Service, you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated by reference.

If you are using the Website or Verification Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and references to "you" include that organisation.

Jabali Labs reserves the right to modify these Terms at any time. Continued use of the Website or Verification Service after modification constitutes acceptance of the updated Terms. Material changes will be notified by updating the "Last updated" date.

The Verification Service

3.1 What the service provides

The Jabali Labs Verification Service cross-references trade documents submitted by or on behalf of exporters against institutional records held by the Kenya Revenue Authority (KRA), the Uganda Revenue Authority (URA), the Kenya Plant Health Inspectorate Service (KEPHIS), and other corridor authorities, to produce a structured verification output for use by lenders in their credit assessment processes.

The Verification Service produces:

3.2 What the service does not provide

Jabali Labs does not make lending decisions. Verification Reports are factual outputs describing whether a trade transaction has been independently verified across named institutional sources. They are provided to lenders as one input into the lender's own credit assessment process. A Verification Report is not:

— A recommendation to lend or not to lend
— A guarantee that a loan will be repaid
— A creditworthiness assessment or credit score
— Financial advice of any kind
— A guarantee of the accuracy or completeness of underlying government records

All lending decisions remain the sole responsibility of the lender.

3.3 Service availability

Jabali Labs will use reasonable endeavours to deliver Verification Reports within 24 hours of receipt of a complete document set. This is a target turnaround, not a guaranteed service level. Jabali Labs is not liable for delays caused by incomplete submissions, unavailability of institutional data sources, force majeure events, or circumstances beyond our reasonable control.

3.4 Pilot phase

The Verification Service is currently in pilot deployment phase, focused on the Nairobi–Kampala maize corridor. Formal data access agreements with institutional data sources are in progress. Jabali Labs cross-references submitted documents against available corridor data. Not all institutional records may be accessible for every transaction.

User obligations and acceptable use

4.1 Lawful use

You agree to use jabalilabs.com and the Verification Service only for lawful purposes and in accordance with these Terms. You must not use the Website or Verification Service:

4.2 Accuracy of submissions

Where you submit documents for verification, you represent that to the best of your knowledge those documents are genuine and accurately describe the transactions they relate to. Jabali Labs reserves the right to refuse to verify any submission where there are reasonable grounds to suspect fraud or document falsification, and to report such suspicions to relevant authorities.

4.3 Lender obligations

Lenders who receive Verification Reports agree to:

Intellectual property

5.1 Jabali Labs content

All content on jabalilabs.com and all elements of the Verification Service — including but not limited to the verification methodology, scoring algorithms, fraud detection heuristics, software, website design, reports, templates, trademarks, and brand elements — are the proprietary intellectual property of Jabali Labs and are protected by applicable copyright, trade secret, and intellectual property laws.

You may not copy, reproduce, modify, distribute, sell, or create derivative works from any Jabali Labs content without our prior written consent.

5.2 Verification Report ownership

Jabali Labs grants the Lender who commissioned a specific Verification Report a non-exclusive, non-transferable licence to use that report for the purposes of the specific lending decision for which it was produced. The underlying methodology, scoring logic, and fraud detection system remain the exclusive property of Jabali Labs.

5.3 Exporter document ownership

Trade documents submitted by Exporters for verification remain the property of those Exporters (or the government authorities that issued them). Jabali Labs processes these documents solely for the purposes of producing the Verification Report and does not claim any intellectual property rights over submitted documents.

5.4 Feedback

If you provide feedback, suggestions, or ideas about Jabali Labs services, you grant us an irrevocable, royalty-free licence to use that feedback without restriction or obligation to you.

Confidentiality

6.1 Exporter data confidentiality

Jabali Labs treats all trade documents and transaction data submitted by Exporters as confidential. We do not share exporter transaction data with any party other than the Lender that commissioned the Verification Report for that specific transaction, except where required by law or by a court or regulatory order.

6.2 Verification methodology

The specific fraud detection heuristics, scoring weights, and verification logic employed by Jabali Labs constitute confidential and proprietary trade secrets. Verification Reports describe the outputs and sources of the verification process but do not disclose the underlying methodology. Users agree not to attempt to reverse-engineer, replicate, or disclose the methodology.

6.3 Mutual confidentiality for service agreements

Where Jabali Labs enters into service agreements with Lenders or institutional partners, mutual confidentiality obligations will be set out in those agreements. These Terms of Service represent minimum baseline obligations applicable to all users.

Data protection

The collection and processing of personal data by Jabali Labs is governed by our Privacy Policy, which is incorporated into these Terms by reference and available at jabalilabs.com/privacy.html.

Where Jabali Labs processes personal data on behalf of a Lender as part of the Verification Service (for example, the identity data of Exporters included in verification submissions), Jabali Labs acts as a data processor and the Lender acts as data controller in respect of that data. The specific data processing obligations between Jabali Labs and each Lender will be governed by a Data Processing Agreement entered into as part of the service relationship.

All users agree to comply with applicable data protection laws when sharing any personal data with Jabali Labs, including ensuring that any data subjects whose data is provided have been appropriately informed and that there is a lawful basis for sharing.

Disclaimers and warranties

8.1 No warranty on government data

Verification Reports are based on data held by third-party government institutions (KRA, URA, KEPHIS, and others). Jabali Labs does not warrant the accuracy, completeness, or currency of those institutional records and is not responsible for errors or omissions in government databases.

8.2 No financial warranty

A high Transaction Truth Score or GridScore does not guarantee that a loan will be repaid or that a transaction is free from all risks. Verification is one element of a credit assessment — it is not a substitute for the lender's own due diligence, risk assessment, and underwriting processes.

8.3 Website availability

jabalilabs.com is provided on an "as is" and "as available" basis. Jabali Labs does not warrant that the Website will be uninterrupted, error-free, or free from viruses or other harmful components. We reserve the right to modify, suspend, or discontinue any part of the Website at any time without notice.

8.4 Jurisdiction-specific provisions

Some jurisdictions do not allow the exclusion of certain implied warranties. To the extent that applicable law requires implied warranties, those warranties are limited in duration to 30 days from the date of the relevant transaction.

Limitation of liability

9.1 Exclusion of indirect losses

To the fullest extent permitted by applicable law, Jabali Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with the use of the Website or Verification Service, including but not limited to loss of profits, loss of revenue, loss of data, loss of business, or reputational damage, even if Jabali Labs has been advised of the possibility of such damages.

9.2 Cap on liability

To the fullest extent permitted by applicable law, Jabali Labs' total aggregate liability to any user in connection with the Website or Verification Service — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the greater of:

9.3 Indemnification

You agree to indemnify and hold harmless Jabali Labs, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website or Verification Service, or your violation of any applicable law.

9.4 Essential basis of the bargain

The limitations of liability in this section reflect a reasonable allocation of risk between the parties and are an essential element of the basis of the bargain between Jabali Labs and its users. Jabali Labs would not provide the Verification Service without these limitations.

Third-party services and links

jabalilabs.com may link to or integrate with third-party services including Google Calendar for appointment booking. Jabali Labs is not responsible for the content, privacy practices, or terms of service of third-party services. Your use of third-party services is governed by their own terms and policies.

Force majeure

Jabali Labs shall not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by events beyond its reasonable control, including but not limited to: acts of God, natural disasters, epidemic or pandemic, acts of government or regulatory authority, war, civil unrest, power outages, internet or telecommunications failures, unavailability of third-party systems (including government databases), or industrial disputes.

Governing law and jurisdiction

12.1 Governing law

These Terms of Service shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

12.2 Primary jurisdiction

Subject to Section 12.3, any disputes arising from or relating to these Terms or the use of the Website or Verification Service shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.

12.3 Consumer and mandatory rights

Nothing in these Terms limits or excludes any rights you may have under the mandatory laws of your jurisdiction that cannot be waived by contract. Where mandatory consumer or data protection laws of another jurisdiction apply to your use of Jabali Labs services, those laws are not excluded by the choice of Kenyan law.

12.4 Dispute resolution

Before commencing legal proceedings, you agree to contact Jabali Labs at samatar@jabalilabs.com and allow 30 days for good-faith negotiation to resolve any dispute. This does not prevent either party from seeking emergency injunctive relief where necessary.

12.5 Regulatory compliance by jurisdiction

Jabali Labs operates in compliance with applicable laws in each jurisdiction in which it operates. Where the Verification Service involves data from Kenyan government systems, Kenyan law applies to that data processing. Where the corridor extends into Uganda, Ugandan law applies to Ugandan customs data. Users are responsible for their own compliance with the laws of their own jurisdictions.

Anti-corruption and compliance

Jabali Labs is committed to operating with integrity and in compliance with applicable anti-corruption and anti-bribery laws, including the Kenyan Anti-Corruption and Economic Crimes Act 2003.

Users agree not to offer, pay, promise, or authorise any payment, gift, or benefit to any person — including government officials or employees of institutional data sources — in connection with the Verification Service or for the purpose of improperly influencing any governmental act, decision, or verification outcome.

Jabali Labs reserves the right to terminate any service relationship and report suspected corruption to relevant authorities.

Anti-money laundering

Jabali Labs operates in the trade finance sector and recognises its responsibilities under applicable anti-money laundering (AML) and counter-terrorist financing (CTF) frameworks, including the Proceeds of Crime and Anti-Money Laundering Act (Kenya).

Jabali Labs applies know-your-customer and transaction monitoring procedures appropriate to its risk profile. We reserve the right to decline to provide verification services, to terminate any service relationship, and to report suspicious activity to the Financial Reporting Centre (Kenya) or equivalent authority without notice to the user where required by applicable law.

Termination and suspension

Jabali Labs reserves the right to refuse, suspend, or terminate access to the Website or Verification Service at any time, with or without notice, where:

Sections 5 (Intellectual Property), 6 (Confidentiality), 8 (Disclaimers), 9 (Limitation of Liability), 12 (Governing Law), 13 (Anti-Corruption), and 14 (Anti-Money Laundering) survive termination of these Terms.

16

General provisions

16.1 Entire agreement

These Terms of Service, together with the Privacy Policy and any specific service agreement entered into between Jabali Labs and a Lender or institutional partner, constitute the entire agreement between you and Jabali Labs regarding the Website and Verification Service, and supersede all prior agreements, understandings, or representations.

16.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

Jabali Labs' failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Jabali Labs' prior written consent. Jabali Labs may assign these Terms, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.

16.5 No third-party rights

These Terms do not confer any rights on any third party except as expressly provided herein.

16.6 Language

These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.
